Terms of service — Nacelle Shopify apps

Applies to: All Nacelle apps available on the Shopify App Store, including Nacelle Recommend and Nacelle Sales. Additional apps will be covered by these terms when published.
1. Acceptance and definitions
These terms govern your use of any Nacelle app available on the Shopify App Store (each, an “App”), provided by Nacelle, Inc. (“Nacelle,” “we,” “us”). By installing or using an App, you (“Merchant”) agree to these terms on behalf of yourself and any staff you authorize to use the App. If you do not agree, do not install or use the App.
These terms are between Nacelle and the Shopify merchant who installs the App. They supplement, and do not replace, your agreement with Shopify.
Some Apps include conversational AI agents that respond to your shoppers in real time, or other AI-generated content features (collectively, “AI Features”). Where these terms refer to obligations specific to AI Features, those obligations apply only when you have enabled those features.
2. The apps
Nacelle Recommend
Nacelle Recommend adds a carousel of personalized product suggestions to your Shopify store's cart, checkout, and other pages, with copy written in your brand's voice.
Nacelle Sales
Nacelle Sales adds a conversational AI shopping assistant to your storefront. It can respond to shopper questions, provide product guidance, and surface relevant AI-powered product recommendations in real time.
Features of any App may be added, changed, or removed at any time. We will provide reasonable notice of changes that materially affect how an App works.
3. License
Subject to your compliance with these terms, Nacelle grants you a limited, non-exclusive, non-transferable, revocable right to install and use the applicable App in connection with your Shopify store while these terms are in effect. All rights not expressly granted are reserved by Nacelle.
4. Your responsibilities
You are responsible for:
- Your Shopify account, your store's content, your product catalog, and your relationships with your shoppers.
- Complying with all applicable laws when using an App, including consumer-protection, advertising, privacy, and data-protection laws.
- Ensuring your store's privacy notice accurately discloses to shoppers how data is collected and processed in connection with any App you have installed, including the use of AI Features where applicable.
- Obtaining any consents from shoppers required under applicable law before enabling personalization or AI Features.
You agree not to use any App to:
- Infringe intellectual-property, privacy, or other rights of any third party.
- Transmit unlawful, deceptive, or harmful content.
- Interfere with the operation of the App, Shopify, or any other party's systems.
- Circumvent any technical restrictions or access controls.
- Resell, sublicense, or redistribute the App.
5. AI Features — additional terms
Where an App includes AI Features that respond to your shoppers in real time, those responses are generated without your prior review of each individual response. By enabling AI Features in any App, you acknowledge and agree that:
- Your responsibilities. You are responsible for responding to shopper complaints about specific interactions and for pausing or disabling AI Features through your Shopify theme editor if you become aware of patterns of unsuitable output.
- Nacelle's responsibilities. Nacelle is responsible for the underlying model behavior, including reasonable safety filtering and accuracy of product recommendations against your published catalog as synced through the Shopify Admin API.
- AI outputs are probabilistic. Responses generated by AI Features may occasionally be inaccurate, off-brand, or otherwise unsuitable. While Nacelle takes reasonable measures to filter unsafe outputs, generative AI cannot be guaranteed.
- Shopper-facing AI disclosure. You are responsible for ensuring shoppers are informed they are interacting with an AI agent, in accordance with applicable laws in the jurisdictions where your store operates.
- Shopper inputs. Shoppers' conversational messages to AI Features are processed to generate responses. Your use of AI Features constitutes your instruction to Nacelle to process this data on your behalf. You are responsible for ensuring your store's privacy notice discloses this.
- No professional advice. AI Features are shopping assistant tools. They are not a substitute for professional advice of any kind, and should not be deployed in contexts where shoppers may rely on them for medical, legal, financial, or safety-critical decisions.
- Third-party AI models. Responses are generated using one or more third-party large language model (LLM) providers, which receive your published product catalog as context and shopper conversational inputs to generate responses. Such providers are contractually restricted from using this data to train their models without consent.
6. Merchant content
“Merchant Content” means information and materials you provide or make accessible to Nacelle in connection with an App, including your product catalog, brand-voice inputs, and configuration settings. You retain ownership of Merchant Content. You grant Nacelle a non-exclusive, worldwide, royalty-free right to use, process, and display Merchant Content solely as necessary to provide and improve the Apps during the term of these terms.
You represent and warrant that you have all rights necessary to provide Merchant Content to Nacelle, and that Nacelle's use of Merchant Content as permitted under these terms will not violate any law or third-party rights.
7. Privacy
Our collection and use of personal information in connection with the Apps is described in our Privacy Policy, which is incorporated into these terms by reference.
8. Fees and billing
Fees for each App, if any, are as stated on the App's Shopify App Store listing at the time of install. All billing is handled by Shopify in accordance with your agreement with Shopify. Nacelle does not directly process payment card information.
9. Intellectual property
The Apps, including all software, design, AI models, prompts, and documentation, are owned by Nacelle and its licensors and are protected by intellectual property laws. Nothing in these terms transfers any ownership of Nacelle's intellectual property to you.
10. Disclaimers
THE APPS ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. NACELLE DOES NOT WARRANT THAT THE APPS WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, THAT AI-GENERATED OUTPUTS WILL BE ACCURATE OR COMPLETE, OR THAT THE APPS WILL PRODUCE ANY PARTICULAR COMMERCIAL RESULTS.
11. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, NACELLE WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUES, DATA, GOODWILL, OR BUSINESS, ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE AN APP.
NACELLE'S AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS OR ANY APP WILL NOT EXCEED THE GREATER OF (A) THE TOTAL FEES PAID BY YOU TO NACELLE FOR THE APPLICABLE APP IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY, OR (B) FIVE HUNDRED U.S. DOLLARS (USD $500).
12. Indemnification
You agree to defend, indemnify, and hold harmless Nacelle and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of an App in violation of these terms or applicable law; (b) your Merchant Content; (c) your failure to obtain required consents from shoppers; or (d) your failure to maintain an accurate privacy notice for your store.
13. Termination
You may stop using an App at any time by uninstalling it from your Shopify admin. We may suspend or terminate your access to an App if you violate these terms, if required by Shopify's policies, or if we discontinue the App. We will try to provide reasonable advance notice of App discontinuation where practicable.
Sections that by their nature should survive termination — including Sections 6, 9, 10, 11, 12, 14, and 15 — will continue to apply after termination.
14. Governing law and disputes
These terms are governed by the laws of the State of California, without regard to its conflicts-of-law rules. Any dispute arising out of or related to these terms or the Apps that cannot be resolved informally will be submitted to binding arbitration in Los Angeles County, California, in accordance with the JAMS Streamlined Arbitration Rules, before a single arbitrator. Arbitration may only be conducted on an individual basis — class actions and class-wide arbitration are not permitted. Either party may seek injunctive or other equitable relief in any court of competent jurisdiction to protect intellectual property rights or confidential information.
15. Changes to these terms
We may update these terms from time to time. When we do, we will update the “Last updated” date above. For material changes, we will take additional steps to notify you as required by applicable law or Shopify's requirements. Your continued use of an App after updated terms take effect constitutes your acceptance of the updated terms.
16. General
These terms, together with the Privacy Policy, constitute the entire agreement between you and Nacelle with respect to the Apps and supersede any prior agreements on this subject. If any provision is found unenforceable, the remaining provisions will continue in full force. Nacelle's failure to enforce any right or provision is not a waiver of that right or provision. You may not assign these terms without Nacelle's prior written consent; Nacelle may assign these terms in connection with a merger, acquisition, or sale of assets.
